Terms of Service

The short version

  • Bindly Compliance is a software subscription that helps your business track insurance and regulatory compliance for the vendors, subhaulers, and tenants you work with.
  • Our compliance checks are decision-support tools. They help you spot gaps — they are not legal advice and not a guarantee that any party is fully compliant.
  • You keep ownership of the documents and data you upload. You grant us the limited rights we need to process them and run the service for you.
  • By using the service you agree to these Terms and to our Privacy Policy.

1. Acceptance of these Terms

By accessing or using bindlycompliance.com or the Bindly Compliance dashboard, you agree to be bound by these Terms of Service and our Privacy Policy. If you are agreeing on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the service.

2. What Bindly Compliance is

Bindly Compliance is a business-to-business software service for tracking insurance and regulatory compliance. We ingest documents you and your counterparties upload — such as certificates of insurance, declaration pages, and regulatory filings — extract the relevant data, evaluate it against the rules you configure, and report deficiencies.

We are a software provider. We are not an insurance company, an insurance agency acting for you in this product, a law firm, or a regulator. We do not issue coverage, give legal advice, or certify compliance with any law.

3. Compliance results are decision-support, not advice

The statuses, scores, and deficiency findings the service produces are automated decision-support based on the documents provided and the rules you set. They can contain errors, miss issues, or reflect out-of-date or incomplete documents. You are responsible for your own compliance decisions and for verifying anything that carries legal or financial weight. Do not rely on a Bindly Compliance result as a substitute for review by a qualified insurance, legal, or regulatory professional.

4. Eligibility and accounts

You must be at least 18 years old and using the service for business purposes. You are responsible for keeping your sign-in credentials secure and for activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access.

5. Subscriptions, billing, and trials

Paid plans are billed through Stripe on a recurring basis (monthly or annual, as you select). Unless stated otherwise, subscriptions renew automatically at the end of each term until you cancel. You can cancel at any time from your account or by contacting us; cancellation stops future renewals and takes effect at the end of the current paid period.

Fees are exclusive of taxes unless stated. Except where required by law, fees already paid are non-refundable, including for partial periods after a cancellation. We may change pricing for future terms with advance notice; the price in effect when a term renews is the price for that term.

6. Your data and documents

As between you and Bindly Compliance, you retain all rights to the documents and data you upload. You grant us a limited, non-exclusive license to host, process, and display that content solely to provide and improve the service for you. You represent that you have the right to upload the documents and information you submit — including information about your vendors, subhaulers, and tenants — and to have us process it as described in our Privacy Policy.

7. Acceptable use

You agree not to:

  • upload content you do not have the right to upload, or that is unlawful;
  • use the service to harass a counterparty, or to make compliance demands you are not entitled to make;
  • probe, scrape, overload, or attempt to circumvent the security or rate limits of the service;
  • resell or provide the service to third parties except as expressly permitted.

8. Third-party services

The service relies on third-party providers (for example Cloudflare, Clerk, Stripe, Paubox, and Anthropic). Your use of those services through Bindly Compliance is also subject to their terms. We choose providers that meet our privacy and security standards — see our Privacy Policy for the current list.

9. Disclaimers

The service is provided "as is" and "as available." To the maximum extent permitted by law, Bindly Compliance disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any compliance result is accurate or complete.

10. Limitation of liability

To the maximum extent permitted by law, Bindly Compliance and its officers, employees, and agents are not liable for any indirect, incidental, consequential, special, or exemplary damages — including losses arising from a coverage gap, a missed deficiency, or a compliance decision you make using the service. Our total aggregate liability for any claim arising out of the service is limited to the greater of (a) the amount you paid us for the service in the 12 months before the claim, or (b) one hundred U.S. dollars ($100).

Nothing in these Terms limits liability that cannot be limited or excluded under applicable law, including liability for gross negligence, intentional misconduct, or fraud.

11. Indemnification

You agree to indemnify and hold Bindly Compliance harmless from claims arising out of the content you upload, your right (or lack of right) to upload it, your compliance decisions, or your violation of these Terms — except to the extent caused by our own negligence or misconduct.

12. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws principles. We will always try to resolve a problem informally first — please reach us at [email protected] before pursuing formal legal action.

13. Termination

You can stop using the service and cancel your subscription at any time. We may suspend or terminate access for non-payment, abuse, suspected fraud, or violation of these Terms. After termination you may request an export of your data, and we will delete it subject to the retention rules in our Privacy Policy.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will notify you by email (if we have one on file) and update the "Last updated" date above. Your continued use of the service after a change means you accept the new Terms.
